End User License Agreement

1. Acceptance

This End User License Agreement ("EULA") is a legal agreement between you and Loggie AI, operating as Deezign LLC, for your access to and use of the website (https://loggie.ai) and related services (including any QuickBooks-connected functionality) offered to you through our website or API integrations ("Service"). By installing, accessing, or using the Service, you accept this EULA.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business use. The Service is provided as a license, not a sale of software. You may not reverse engineer, decompile, disassemble, copy, or create derivative works except as allowed by law.

3. QuickBooks/Intuit Integration

  • Our Service may connect to QuickBooks Online only through Intuit-supported OAuth 2.0 authentication flows and with your affirmative authorization.
  • You represent that you have all rights and authority to connect the QuickBooks company data used in the Service.
  • You acknowledge that Intuit and QuickBooks are third-party providers and are not under our control. Their availability and terms may change.
  • You are responsible for compliance with Intuit's applicable terms, policies, and permissions settings when connecting any Intuit or QuickBooks account.
  • If requested by Intuit or required by law, we may suspend or disable QuickBooks connectivity immediately.

4. Data Access, Use, and Security

  • We may access only the QuickBooks data scopes you authorize (for example customers, vendors, invoices, bills, payments, account and chart data) to provide requested features.
  • We do not use QuickBooks data for unrelated machine learning training, advertising, profiling, or resale.
  • We implement industry-standard security controls, including encrypted transport, access controls, and secret/token handling best practices.
  • OAuth tokens and keys may be revoked by you at any time from your user or account settings; we will respect revocation promptly and remove or disable affected access.
  • If you discover inaccuracies in imported QuickBooks data, you should correct them at the source in QuickBooks and in our Service where supported.

5. User Responsibilities

  • Provide only accurate account and business information and keep credentials and connected account access secure.
  • Use the Service only for lawful business purposes and only for data you are authorized to access.
  • Do not attempt to bypass scope limitations, rate limits, or security controls.
  • Do not export QuickBooks data to other systems in a way that violates Intuit policies or your contractual obligations.
  • Report suspected unauthorized access, data issues, or suspected abuse immediately.

6. Third-Party Services and Disclaimers

The Service may rely on third-party providers, including cloud infrastructure and AI/analytics services. We are not responsible for third-party availability, bugs, or changes outside our control. If you access third-party services through this platform, your use may be governed by their separate terms.

For all third-party services, data transfer, and connected integrations, Intuit's data transfer terms and third-party disclosures apply where you authorize access.

7. Revocation, Suspension, and Termination

  • You may disconnect your QuickBooks connection or revoke our app authorization in your account settings at any time.
  • We may suspend or terminate access to all or part of the Service immediately for safety, abuse, non-payment, legal risk, or legal/compliance requirements.
  • Upon suspension or termination, we may delete or anonymize app-stored non-transactional data as required by law and our retention policies.
  • Termination does not waive accrued liabilities or rights accrued before termination.

8. Limitation of Liability

To the fullest extent permitted by law, Loggie AI is not liable for indirect, incidental, special, consequential, or punitive damages, including financial loss from incorrect QuickBooks data, integration errors, or third-party outages. Our aggregate liability to you for claims related to the Service is limited to fees paid by you in the preceding three months.

9. Compliance and Indemnity

You agree to comply with all applicable laws and with Intuit/QuickBooks developer policies and platform requirements. You will indemnify and hold us harmless from claims arising from your misuse of the Service, unauthorized access, or unauthorized QuickBooks data handling.

10. Changes and Contact

We may update this EULA from time to time. Continued use after posting updates means acceptance.
